Terms & Conditions

Please read these Terms and Conditions carefully before using our website or engaging Webciaga for any services. These terms establish the legal agreement between you and TechCiaga Pty Ltd (“Webciaga”, “we”, “us”, “our”).
Acceptance of Terms
By accessing our website or engaging Webciaga (operated by TechCiaga Pty Ltd) for services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our website or services.
These terms apply to all visitors, clients, and users of our website and services.
Services
Webciaga provides web development, software development, UI/UX design, digital marketing, automation & AI, and digital product services.
All services are delivered based on a written proposal or statement of work agreed upon by both parties prior to commencement. The scope, deliverables, timeline, and pricing outlined in that proposal form part of these terms.
We reserve the right to refuse service to anyone for any reason at any time.
Project Proposals & Pricing
All proposals are fixed-price and valid for 30 days from the date of issue. Pricing is in Australian Dollars (AUD) and excludes GST unless stated otherwise.
A project is considered confirmed only upon receipt of a signed proposal and the agreed deposit payment.
Any changes to the agreed scope after project commencement may result in additional charges. Scope changes must be agreed in writing before implementation.
Payment Terms
Payment schedules are outlined in each project proposal. Standard terms require a deposit prior to commencement and the balance upon completion, unless otherwise agreed.
Invoices are due within 14 days of issue unless alternative arrangements have been agreed in writing.
Late payments may incur a late fee of 1.5% per month on the outstanding balance. We reserve the right to pause work on active projects if invoices remain unpaid beyond 30 days.
For monthly retainers, payment is due in advance at the start of each billing cycle.
Intellectual Property
Upon receipt of full payment, all custom work created by Webciaga for a client, including code, design assets, and content, is transferred to the client. Webciaga retains no ownership over delivered work once paid in full.
Webciaga retains the right to display completed work in our portfolio and use it for promotional purposes, unless the client requests confidentiality in writing.
Any third-party tools, plugins, or frameworks used in a project remain subject to their respective licences.
Work product is not transferred until all outstanding invoices are fully paid.
Client Responsibilities
Clients are responsible for providing accurate, complete, and timely information required to deliver the project. Delays caused by late provision of content, feedback, or approvals may affect agreed timelines.
Clients are responsible for ensuring they have the rights to any materials (images, text, brand assets) provided to Webciaga for use in their project.
Clients are responsible for reviewing and approving all deliverables. Final approval constitutes acceptance of the delivered work.
Warranties & Liability
Webciaga warrants that services will be performed with reasonable skill and care, consistent with industry standards.
We do not guarantee specific business outcomes (e.g. search rankings, conversion rates, revenue) from our work. Results depend on many factors outside our control.
To the maximum extent permitted by law, Webciaga's total liability for any claim arising from our services is limited to the total amount paid by the client for the specific project giving rise to the claim.
We are not liable for indirect, consequential, or incidental damages of any kind.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement.
This obligation does not apply to information that is publicly available, independently known, or required to be disclosed by law.
Termination
Either party may terminate a project with 14 days written notice. Upon termination, the client is liable for payment for all work completed up to the termination date.
Deposits are non-refundable once work has commenced, unless Webciaga is in material breach of the agreed scope.
Webciaga reserves the right to terminate an engagement immediately if a client engages in abusive behaviour, requests illegal activity, or fails to make payment.
Governing Law
These Terms and Conditions are governed by the laws of Victoria, Australia. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Victoria.
We encourage clients to contact us directly to resolve any disputes before pursuing legal action.
Changes to These Terms
We may update these Terms and Conditions from time to time. Updated terms will be posted on this page with a revised effective date.
Continued use of our website or services after changes are posted constitutes acceptance of the updated terms.
